GOVERNANCE

Corporate structure, related parties, and what happens if a key person is unavailable.

The full disclosure a board or examiner needs: who owns the company, who runs it, where the related-party lines are, how we keep them clean, and how active engagements are protected through succession.

Conflict-hygiene controls

  • Separate counsel represents each side of any related-party engagement.
  • Third-party CPA review is performed on all related-party billings.
  • Board-level disclosure precedes any related-party engagement, under standard related-party review.
  • Dr. Helen Po does not participate in pricing decisions, removing the conflict at the point it would matter.

Succession planning

Active engagements do not depend on any single person. If a lead is unavailable, work continues under a documented plan rather than stalling.

  • Named backup decision-makersEach engagement names a secondary decision-maker authorized to keep delivery moving if the primary is unavailable.
  • Named secondary engineer per projectIn addition to the lead engineer, every project names a backup engineer briefed from the knowledge-transfer runbook.
  • Client SLA on succession4-hour acknowledgement and continuity of client access, with the secondary engineer engaged within the incident-response window.
